1. Agreement to These Terms
By accessing the Raiseonix website or engaging Raiseonix for services, you agree to be bound by these Terms & Conditions and any additional terms agreed in writing for a specific project.
If you do not agree with these terms, please do not use the website or engage our services.
Project-specific agreements: Where a proposal, quotation, statement of work, service agreement or other written agreement contains terms specific to a project, those terms will apply to that project where they conflict with these general website terms.
2. Our Services
Raiseonix provides digital and business technology services. Depending on the project, these may include:
The exact services, deliverables, timelines and fees for a project will depend on the agreed scope.
3. Project Scope
Before beginning a project, the expected scope should be established through a proposal, quotation, statement of work, email confirmation or other written agreement.
Project scope may include items such as:
- Specific pages, features or functionality.
- Technology platforms and integrations.
- Design and content requirements.
- Number of revisions or review rounds.
- Delivery milestones and estimated timelines.
- Fees, payment schedules and applicable taxes.
Work requested outside the agreed scope may require additional fees, time or a revised agreement.
4. Client Responsibilities
Successful projects require timely participation from both sides. Clients are generally responsible for providing accurate information, content, approvals and access required for the agreed work.
Depending on the project, this may include:
- Providing required text, images, branding and business information.
- Providing appropriate access to websites, domains, hosting accounts or third-party platforms.
- Reviewing work and providing feedback within agreed timelines.
- Providing accurate business, financial, customer, product or operational information where required.
- Ensuring that supplied content and materials can legally be used.
Delays in receiving required information, access, approvals or feedback may affect project timelines.
5. Third-Party Services & Platforms
Projects may depend on third-party platforms and services, including hosting providers, domain registrars, WordPress plugins, Shopify, WooCommerce, Zoho products, payment gateways, email services, APIs and other software.
Third-party services are subject to their own terms, pricing, availability, policies and technical limitations.
Raiseonix is not responsible for changes, outages, restrictions, discontinued features, pricing changes or failures caused by third-party providers.
Where third-party licences or subscriptions are required, the client may be responsible for purchasing and maintaining those subscriptions unless otherwise agreed.
6. Content & Intellectual Property
Client-provided materials
The client remains responsible for the ownership, accuracy and lawful use of materials supplied to Raiseonix, including logos, photographs, text, documents, product information and other content.
Raiseonix work
Ownership and usage rights relating to project deliverables will depend on the applicable project agreement and payment terms.
Unless otherwise agreed, Raiseonix retains ownership of its pre-existing frameworks, reusable code, methods, processes, know-how, templates and general technical components.
Third-party materials
Third-party software, plugins, themes, fonts, images, libraries and other licensed materials remain subject to their respective licences and terms.
7. Fees & Payments
Project fees and payment schedules will be communicated before or during project engagement.
Depending on the project, payment may be structured as an advance, milestone-based payments, recurring payments, or another mutually agreed arrangement.
Unless otherwise agreed in writing:
- Work may begin after the agreed initial payment or confirmation.
- Additional work outside the agreed scope may be charged separately.
- Third-party subscriptions, licences, hosting, domains and other external costs may be charged separately.
- Applicable taxes may be added where required.
Delayed payments may affect delivery, access to support, project schedules or continuation of work.
8. Changes, Revisions & Delays
Reasonable revisions within the agreed project scope may be included where specified in the project agreement.
Significant changes to requirements, functionality, design direction or project objectives may require a revised scope, timeline or fee.
Timelines are estimates unless a specific delivery date has been expressly agreed in writing.
Delays caused by missing information, delayed approvals, third-party services, technical dependencies or changes requested by the client may affect the expected delivery schedule.
9. Support & Maintenance
Support and maintenance are provided according to the applicable service agreement or project scope.
Unless specifically included, ongoing maintenance, content updates, plugin updates, third-party subscription management, hosting management and additional development may be charged separately.
Clients are encouraged to maintain appropriate backups, account security and valid licences for systems under their control.
10. Confidentiality
During a project, either party may receive information that is confidential or commercially sensitive.
Each party should take reasonable steps to protect confidential information received from the other party and use it only for the purposes for which it was shared, subject to applicable law and any separate confidentiality agreement.
11. Liability & Service Limitations
Raiseonix will make reasonable efforts to deliver services according to the agreed scope.
However, digital systems may depend on hosting, software platforms, APIs, plugins, payment providers, internet connectivity and other external systems.
We do not guarantee that a website, application, integration or automated workflow will remain uninterrupted or error-free in every circumstance.
Unless otherwise required by applicable law or expressly agreed in writing, Raiseonix will not be responsible for indirect or consequential losses arising from the use of a website, software system, third-party platform or business process.
Important: Any limitation of liability should be reviewed against your actual business structure, contracts and applicable law before publishing this policy.
12. Termination
Either party may request termination of a project or ongoing service subject to the applicable agreement.
If a project is terminated after work has begun, fees may be payable for work completed, approved milestones, committed third-party costs and other agreed obligations.
Where a separate contract specifies termination terms, those terms will apply to that engagement.
13. Governing Law
These Terms & Conditions should be interpreted in accordance with the laws applicable to the jurisdiction specified in the final version of your business agreement.
For Raiseonix, the applicable jurisdiction and courts should be confirmed based on the legal structure and registered location of the business before this section is published as a binding contractual provision.
